Terms of Service

RxRooster operates the core technological infrastructure that connects anesthesia providers, including Certified Registered Nurse Anesthetists (CRNAs), Student Registered Nurse Anesthetists (SRNAs), and Anesthesiologists, with healthcare facilities and staffing organizations. As the definitive operating system for anesthesia staffing, these Terms govern your use of our platform as a provider user ("Provider"), a healthcare facility or anesthesia group ("Group"), or a staffing, recruiting, or locum agency ("Agency").

• Provider accounts: You must be a CRNA, SRNA, or Anesthesiologist.
• Group/facility accounts: You must represent a healthcare facility or anesthesia group.
• Agency accounts: You must represent a staffing, recruiting, or locum tenens agency. Agency accounts are subject to the same Terms as Group accounts unless otherwise specified.

RxRooster provides the industry-standard software platform and related infrastructure to facilitate direct, high-fidelity connections between Providers and Groups or Agencies. While we power the mechanics of these connections, RxRooster is not an employer of providers and does not practice medicine. We provide the technology, but we do not guarantee placement, availability, or performance.

The RxRooster platform, including all software, algorithms, matching engine logic, data models, user interfaces, documentation, trade secrets, and all associated intellectual property rights, is the exclusive property of RxRooster. All rights not expressly granted to you under these Terms are reserved by RxRooster.

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any part of the platform.
• Copy, modify, adapt, or create derivative works based on the platform or its content.
• Use the platform or any data obtained through it to build, support, or enhance a competing product or service, or for competitive benchmarking purposes.
• Scrape, crawl, harvest, or use any automated means to extract provider profiles, compensation data, job listings, or any other data from the platform.
• Download, export, or systematically copy provider information for use outside the platform, including but not limited to building external databases or contact lists.
• Bypass, disable, or circumvent any security, authentication, or access-control mechanisms of the platform, including the anonymous negotiation layer.

RxRooster reserves the right to restrict, suspend, or terminate any account engaged in unauthorized data extraction, competitive use, or any activity that compromises the integrity of the platform or its users.

RxRooster may collect, aggregate, anonymize, and derive insights from platform activity, including but not limited to market trends, compensation benchmarks, demand signals, geographic patterns, and staffing analytics. Such aggregated and anonymized data does not identify any individual Provider, Group, or Agency.

RxRooster retains all right, title, and interest in aggregated and anonymized data, and may use, publish, license, or commercialize it for legitimate business purposes, including market intelligence products, research, platform improvement, and industry reporting. This right survives termination of your account.

For clarity, this section applies exclusively to data that has been aggregated and anonymized such that no individual user can be identified. Your personal data remains subject to the protections described in our Privacy Policy.

From time to time, RxRooster may offer pilot programs or promotional pricing (including waived or reduced fees). Participation is optional and subject to any posted or written program terms. RxRooster may modify or end a pilot or promotion at any time, and such programs do not amend these Terms unless expressly stated.

Any applicable fees, if selected by you, will be disclosed at the point of purchase or in your order flow. You agree to pay all fees, taxes, and charges incurred by your account using a valid payment method. All sales are final, and RxRooster maintains a strict NO refund policy for all platform fees, purchases, and subscriptions.

By providing a payment method, you authorize RxRooster to charge that payment method for all fees when due, including any renewal or recurring charges. If your payment method is declined or expires, RxRooster may attempt to charge updated payment information or contact you to resolve the issue. Failure to resolve a payment issue may result in suspension or termination of your account.

Late payments will accrue interest at a rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower. If RxRooster is required to initiate collection efforts to recover amounts owed, you agree to reimburse RxRooster for all reasonable costs associated with such efforts, including attorneys' fees and collection agency charges.

RxRooster introduces Providers to Groups and Agencies but does not dictate the terms of employment, engagement, or contracts. Providers, Groups, and Agencies are solely responsible for entering into any contractual relationship directly with each other, including verifying credentials, setting rates, schedules, and all other terms.

RxRooster may offer automated verification tools that cross-reference provider credentials against third-party registries and databases, including but not limited to the NPI Registry, DEA Verification, NBCRNA Certification, and NURSYS License Verification. These tools are provided as a convenience to assist with credentialing workflows.

RxRooster does not guarantee the accuracy, completeness, timeliness, or reliability of any verification result. Verification data is sourced from third-party systems and may be delayed, incomplete, or contain errors beyond our control. A verification result does not constitute an endorsement, certification, or guarantee of any provider's qualifications, fitness, or suitability for any role.

Groups, Facilities, and Agencies are solely and exclusively responsible for conducting their own independent credentialing, background checks, reference verification, and compliance due diligence before engaging or employing any Provider. Reliance on RxRooster verification tools does not relieve you of this responsibility.

RxRooster respects the confidentiality of both parties. You agree not to misuse or disclose confidential information obtained through the platform except as permitted by law and necessary for evaluating or entering into a direct engagement.

You agree to defend, indemnify, and hold harmless RxRooster and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the platform in violation of these Terms or applicable law.
• Any hiring, employment, engagement, or contracting decision you make as a result of connections facilitated through the platform.
• Any inaccuracy in information, credentials, or representations you provide to RxRooster or to other users through the platform.
• Any claim by a third party arising from your use of data, profiles, or information obtained through the platform.

This indemnification obligation applies to all user types, including Providers, Groups, Facilities, and Agencies.

You may stop using RxRooster at any time. RxRooster may suspend or terminate access to the platform or any feature at any time for any reason, including suspected misuse, non-payment, or violation of these Terms. All accrued obligations (including any unpaid fees) remain enforceable.

The following sections survive termination or expiration of these Terms: Intellectual Property & Platform Ownership, Aggregated & Anonymized Data, Fees & Payments (for any amounts accrued), Verification Disclaimer, Confidentiality, Indemnification, Limitations of Liability, and this survival provision.

To the maximum extent permitted by law, RxRooster is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising from or related to your use of the services, whether based on warranty, contract, tort, or any other legal theory, and whether or not RxRooster has been advised of the possibility of such damages.

RxRooster makes no guarantees regarding successful matches, engagements, or placements. RxRooster does not control and is not responsible for the quality, legality, or suitability of any Provider, Group, or Agency, nor the accuracy of any information provided by users.

To the extent permitted by applicable law, the total aggregate liability of RxRooster arising out of or in connection with these Terms or your use of the platform shall not exceed the total fees actually paid by you to RxRooster during the six (6) month period immediately preceding the event giving rise to the claim. If you have not paid any fees to RxRooster, our maximum aggregate liability shall not exceed fifty dollars ($50).

You acknowledge that the fees charged by RxRooster reflect the allocation of risk set forth in this section and that RxRooster would not enter into these Terms without these limitations.

We may modify these Terms at any time. Changes will apply prospectively from the date posted. Your continued use of RxRooster after updates constitutes acceptance of the modified Terms.

RxRooster sends text messages only to people who have affirmatively opted in. Consent is captured through a dedicated checkbox that is not selected by default, and is recorded with the date and originating IP address. Checking that box is a separate act from accepting these Terms, and accepting these Terms does not by itself constitute consent to receive text messages.

Where you have opted in, RxRooster may send:

• Marketing messages: Recurring automated messages about anesthesia job opportunities and reminders to complete your provider profile.
• Account notifications: Job-match alerts, provider and employer message notifications, and negotiation updates.

Consent for marketing messages is collected on its own and is never used to send messages of another category. The full marketing program, including the verbatim consent language and screenshots of the consent screen, is published on our SMS opt-in disclosure page.

Message frequency varies and will not exceed 6 messages per month. Message and data rates may apply. RxRooster does not charge for text messages.

You may withdraw consent at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, OPTOUT, or REVOKE to any message, or by updating your notification settings. Your number is then added to a permanent suppression list. Reply START, YES, or UNSTOP to resubscribe, or HELP for assistance. Withdrawing SMS consent does not close your account or affect your ability to use RxRooster through email and in-app notifications.
